Effective Date: October 11, 2026
Summary (What You're Agreeing To)
By using Jotley's website, Mac, iPhone, or iPad app ("Services"), you enter into a legally binding contract with Jotley ("Jotley," "we," "us"). These Terms (1) set the rules for acceptable use, (2) explain how your content is stored (on your device, with optional iCloud sync), (3) limit our liability and warranties to the extent the law allows, (4) require most disputes to be resolved by individual arbitration, and (5) incorporate global privacy laws such as GDPR and CCPA. If you do not or cannot agree, do not use the Services.
1. Effective Date & Acceptance
These Terms are effective on October 11, 2026 and govern all use of the Services after that date. You accept them when you access or use the Services.
2. Eligibility
You must be at least 16 years old (or the age of digital consent where you live) and able to form a binding contract. Minors need verifiable parental consent.
3. Changes to These Terms
We may modify these Terms by posting an updated version and changing the "Effective Date." Material changes take effect 30 days after posting; continued use after that constitutes acceptance.
4. Device Requirements
Jotley uses Apple Intelligence on compatible Apple devices. Apple Intelligence must be enabled on your device. See the App Store listing for the current device and operating system requirements.
5. The App
Jotley is a completely free and open source native app for Mac, iPhone and iPad. It provides on-device recording, transcription, summaries and chat with your notes using Apple Intelligence. No Jotley login or internet connection is required for these features. We may add, modify or discontinue features.
Optional iCloud sync uses a connection when you choose to enable it. Apple services are governed by Apple's applicable terms. For information about your content, see our Privacy Policy.
6. Completely Free. No Strings Attached.
We're not selling anything. Jotley and all its features are completely free, with no subscriptions, no in-app purchases and no paid upgrades. No strings attached.
7. Your Content & Data Storage
7.1 Your Content, Your Storage
Your notes are stored on your device. If you enable optional iCloud sync, copies are stored in your personal iCloud, governed by your agreement with Apple. Jotley does not store your recordings, transcripts, summaries, or notes on our servers.
Transcription and Apple Intelligence processing run on your device. Your audio and text are not sent to Jotley servers for processing.
You own everything you create. We have no access to your notes stored in iCloud.
7.2 Prohibited Content
You may not use the Services to process content that infringes intellectual-property rights, invades privacy, is unlawful, harassing, hateful, or otherwise prohibited by these Terms.
8. Acceptable Use & Prohibited Conduct
You agree not to:
- Scrape, crawl, or use automated systems to send excessive requests.
- Interfere with or disable security or performance features.
- Violate export-control, sanctions, or anti-spamming laws.
You may not use the app or website in violation of these rules.
9. Open Source
Jotley is completely open source. The license included with its source code governs your rights to use, inspect, modify and redistribute the software. These website terms do not restrict the rights granted by that license.
Apple Intelligence and other Apple frameworks remain governed by Apple's applicable terms. You retain ownership of your own notes and recordings.
10. Privacy & Data Protection
Our separate Privacy Notice explains how we collect, use, and share personal data. If you are in the European Economic Area, we process data under GDPR Articles 6(1)(a), (b), or (f). California consumers have rights under the CCPA. We enter into Data Processing Agreements with subprocessors and provide Standard Contractual Clauses for international transfers where required.
11. Disclaimers of Warranties
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or course of performance.
12. Limitation of Liability
To the maximum extent permitted by law, Jotley's total liability for all claims in any 12-month period will not exceed US$100. We are not liable for indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You will defend, indemnify, and hold harmless Jotley and its affiliates from third-party claims arising from (a) your content, (b) your breach of these Terms, or (c) your violation of law. Conversely, Jotley will defend you against claims that the core Service infringes a third party's intellectual-property rights.
14. Governing Law
These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law rules. Mandatory consumer protections in your local jurisdiction still apply.
15. Dispute Resolution; Arbitration & Class-Action Waiver
Except for claims that qualify for small-claims court, all disputes will be resolved by binding arbitration administered by the American Arbitration Association on an individual basis. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.
16. Termination
You may stop using Jotley and delete the app and your locally stored content at any time. We may restrict access to the website for violations of these Terms. Sections 11–18 survive termination.
17. International Use
We make no representation that the Services are appropriate or available in all locations. You are responsible for compliance with local laws, including export controls.
18. Miscellaneous
- Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Jotley.
- Severability. If any provision is unenforceable, the remainder still applies.
- Force Majeure. We are not liable for events beyond our reasonable control.
- Open Source License. If these terms conflict with the license supplied with Jotley's source code, that license governs your use, modification and redistribution of the software.
